Van Ginkel has two years remaining on his contract with the Eredivisie club and will reportedly cost the Blues £8million.
He will sign subject to a medical, agreement of personal terms and legal documentation.
The highly-rated Dutchman won the 'Dutch Talent of the Year' award after impressing in the Eredivisie last season and recently starred for the Netherlands Under-21 squad at the European Championship.
He has come up through the ranks at Vitesse, making his senior debut in 2010 and establishing himself as a regular in the starting line-up last season.
Van Ginkel's capture is the second since manager Jose Mourinho returned to Stamford Bridge and follows the signing of Germany international Andre Schurrle from Bayer Leverkusen.
The Blues beat off competition from Ajax to land the 20-year-old, with the Dutch club's sporting director Marc Overmars last month stating his club could not compete with the Londoners.
"Ajax were very interested in Van Ginkel and we were willing to go quite far," Overmars said. "But if we have to compete with one of the big clubs from England it is always going to be difficult for us. We cannot beat Chelsea's financial resources."
